Hamba Terms of Use

Welcome to Hamba. These Terms of Use ("Terms") are an agreement between you and Hamba ("Hamba," "we," "us," or "our") and govern your use of the Hamba platform at joinhamba.com (the "Platform"). Hamba runs a creator marketplace for hotel and travel stays. Creators can receive hosted stays in exchange for agreed content, with an optional performance bonus only where the collaboration terms provide one. Hotels can review applicants and see supported social-content performance. During the private pilot, booking or revenue results are recorded only when a hotel reports them.

By creating an account, taking a stay, listing a stay, or otherwise using the Platform, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Platform.

1. Who can use Hamba

You must be at least 18 years old and able to enter into a binding contract to use the Platform. If you use the Platform on behalf of a business (for example a hotel or property), you confirm you are authorized to bind that business to these Terms.

2. Accounts

You must give accurate information when you sign up and keep it up to date. You are responsible for your account and for keeping your login credentials confidential. You are responsible for everything that happens under your account. Tell us at hello@joinhamba.com right away if you suspect unauthorized use. We may refuse, suspend, or close accounts that break these Terms, that we reasonably believe are fraudulent, or that put the Platform or its users at risk.

3. The collaboration model

Hamba connects creators and hotels for collaborations. A typical collaboration works like this:

• A creator receives a free premium stay from a host.
• In exchange, the creator produces and delivers agreed content about the stay.
• The creator may also earn an optional performance bonus tied to the supported social metrics and payment terms stated in that specific collaboration.
• Hotels may issue promotional or booking codes for a collaboration. Hamba does not currently connect those codes to a hotel booking engine or independently attribute booking revenue. Any booking or revenue figure shown during the private pilot is labelled hotel reported.

The specific terms of each collaboration, including what content is required, deadlines, and any bonus structure, are set out when the collaboration is arranged. Those specific terms apply alongside these Terms.

Hamba is the operator of the marketplace. We are not the creator's employer, agent, manager, or talent agency, and we are not the hotel. Creators take part independently and are responsible for their own content, conduct, disclosures, and tax obligations. Hotels are responsible for the stays they offer and for honoring what they agree to provide.

4. Creator obligations

If you are a creator, you agree to:

• Provide accurate information about your handles, follower range, and audience.
• Produce and deliver the agreed content on time and to the agreed standard.
• Create original content that you have the right to share, and clear any third party material, music, or people appearing in it.
• Follow all applicable laws and advertising and disclosure rules, including clearly labeling content as a partnership or paid promotion where required.
• Follow the host's reasonable property rules during your stay.
• Not use fake followers, bots, or any method to inflate metrics or bookings.

5. Hotel obligations

If you are a host, you agree to:

• Provide accurate information about your property and the stay you offer.
• Honor the stay and any codes, links, or benefits you agree to provide.
• Treat creators professionally and follow applicable laws.
• Not misuse creator information or content beyond what is agreed and what these Terms allow.

6. Content rights and licensing

You keep ownership of the content you create. By submitting content through a collaboration, you grant Hamba and the relevant host a worldwide, non-exclusive, royalty-free license to use, reproduce, display, and distribute that content for the purposes of the collaboration and the promotion of the stay, in line with what was agreed for that collaboration. You confirm you have all rights needed to grant this license and that the content does not infringe anyone else's rights.

7. Permission to use your participation for Hamba's marketing

This is important, so please read it carefully.

By using the Platform and taking part in collaborations, you grant Hamba a worldwide, non-exclusive, royalty-free, perpetual license to use your participation, the content you submit, your name, your social media handles, and your likeness for Hamba's own marketing, promotion, and case studies. This includes using them on our website, in social media posts, in sales and investor materials, in advertising, and in case studies that describe results such as bookings driven and content performance.

You do not need to sign a separate release for this. Your agreement to these Terms is your consent. We will use this permission in a fair and reasonable way and in keeping with our Privacy Policy. 8. Acceptable use

You agree not to:

• Break the law or use the Platform for anything unlawful.
• Post or deliver content that is false, misleading, infringing, defamatory, hateful, or obscene.
• Manipulate metrics, bookings, or payouts, or otherwise game the Platform.
• Interfere with, disrupt, or try to gain unauthorized access to the Platform or its systems.
• Copy, scrape, or misuse data or content belonging to Hamba, hotels, or other creators.
• Impersonate anyone or misrepresent your identity, audience, or affiliation.

9. Payments

Any optional performance based cash is calculated and paid according to the terms of the specific collaboration and the supported social metrics named in those terms. Hamba does not currently provide an automated payout wallet or independently verify hotel booking revenue. You are responsible for any taxes on amounts you earn. Free stays and other benefits may have their own value for tax purposes, and you are responsible for handling that.

10. Disclaimers

The Platform is provided "as is" and "as available." To the fullest extent allowed by law, we disclaim all warranties, whether express or implied, including any warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee any particular level of stays, content performance, bookings, earnings, or results. Hotels and creators are responsible for their own conduct, and we are not responsible for the acts or omissions of any hotel or creator.

11. Limitation of liability

To the fullest extent allowed by law, Hamba will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Platform. To the fullest extent allowed by law, Hamba's total liability for any claim relating to the Platform will not exceed the greater of the amount we paid you in the three months before the claim or one hundred US dollars. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

12. Termination

You may stop using the Platform and close your account at any time by contacting us. We may suspend or end your access at any time if you break these Terms or if we reasonably need to protect the Platform or its users. Sections that by their nature should survive termination will survive, including content and marketing licenses granted for content and participation up to that point, disclaimers, limitations of liability, and governing law.

13. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the date at the top and, where appropriate, notify you. Continuing to use the Platform after changes take effect means you accept the updated Terms.

14. Governing law

These Terms are governed by applicable law, without regard to conflict of law rules. Any dispute relating to these Terms or the Platform will be handled in the courts or forum with proper jurisdiction, and you agree to that venue.
