Hamba Terms of Use

Welcome to Hamba. These Terms of Use ("Terms") are an agreement between you and Hamba ("Hamba," "we," "us," or "our") and govern your use of the Hamba platform at joinhamba.com (the "Platform"). Hamba runs a creator marketplace for hotel and travel stays. Creators can receive hosted stays in exchange for agreed content, with an optional performance bonus only where the collaboration terms provide one. Hotels can review applicants and see supported social-content performance. During the private pilot, booking or revenue results are recorded only when a hotel reports them.

By creating an account, taking a stay, listing a stay, or otherwise using the Platform, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Platform.

1. Who can use Hamba

You must be at least 18 years old and able to enter into a binding contract to use the Platform. If you use the Platform on behalf of a business (for example a hotel or property), you confirm you are authorized to bind that business to these Terms.

2. Accounts

You must give accurate information when you sign up and keep it up to date. You are responsible for your account and for keeping your login credentials confidential. You are responsible for everything that happens under your account. Tell us at hello@joinhamba.com right away if you suspect unauthorized use. We may refuse, suspend, or close accounts that break these Terms, that we reasonably believe are fraudulent, or that put the Platform or its users at risk.

3. The collaboration model

Hamba connects creators and hotels for collaborations. A typical collaboration works like this:

The specific terms of each collaboration, including what content is required, deadlines, and any bonus structure, are set out when the collaboration is arranged. Those specific terms apply alongside these Terms.

Hamba is the operator of the marketplace. We are not the creator's employer, agent, manager, or talent agency, and we are not the hotel. Creators take part independently and are responsible for their own content, conduct, disclosures, and tax obligations. Hotels are responsible for the stays they offer and for honoring what they agree to provide.

If a host does not honor a confirmed stay, the host may be liable for reasonable costs the creator incurs as a result. This depends on the circumstances of each case and is not automatic.

6. Content rights and licensing

You keep ownership of the content you create. By submitting content through a collaboration, you grant Hamba and the relevant host a worldwide, non-exclusive, royalty-free license to use, reproduce, display, and distribute that content for the purposes of the collaboration and the promotion of the stay, in line with what was agreed for that collaboration. You confirm you have all rights needed to grant this license and that the content does not infringe anyone else's rights.

The licenses in sections 6 and 7 do not cover your private drafts. A private draft is a file you upload to Hamba but do not submit for review, or remove before you submit it. For content delivered through Hamba, the host's use is limited as set out in section 10, and the license in section 7 covers that content only once it has been posted publicly.

7. Permission to use your participation for Hamba's marketing

This is important, so please read it carefully.

By using the Platform and taking part in collaborations, you grant Hamba a worldwide, non-exclusive, royalty-free, perpetual license to use your participation, the content you submit, your name, your social media handles, and your likeness for Hamba's own marketing, promotion, and case studies. This includes using them on our website, in social media posts, in sales and investor materials, in advertising, and in case studies that describe results such as bookings driven and content performance.

You do not need to sign a separate release for this. Your agreement to these Terms is your consent. We will use this permission in a fair and reasonable way and in keeping with our Privacy Policy. If you have a specific concern about a particular use, contact us at hello@joinhamba.com and we will work with you in good faith.

Keep communication about a stay inside Hamba. Do not share or ask for phone numbers, email addresses, social media or messaging handles, or links to messaging or social profiles in application notes or messages, except the tags a stay requires. Hamba may block messages that contain contact details, and repeated attempts may lead to suspension of your account.

To keep the community safe and to resolve disputes, Hamba staff may read messages sent through Hamba. We do this only for safety, fraud prevention, dispute resolution, and enforcing these Terms.

10. Content delivery and review

This section applies only to bookings whose terms, as shown on the booking, include content delivery and review through Hamba.

Each of these bookings includes one review. The creator sends all content within 72 hours of the confirmed checkout. The host has 72 hours to review submitted content and can approve it or, if the booking has a revision round left, request changes in one set of notes. Each revision round lets the host request changes once: the creator then has 72 hours to send the revised content, and the host has another 72 hours to review the revised content. If the host does not respond within a 72 hour window, the content is approved automatically.

A booking applied for under the Terms of 11 October 2026 or a later version includes no revision rounds. A booking applied for under an earlier version keeps the one revision round it included.

If the creator is open to paid revision rounds, the host may buy them at $500 per round, when it accepts the creator or later, while the booking is active and until the content is approved. Of each $500 round, the creator receives $400 once the content is approved, whether or not the host used the round, and Hamba keeps $100, from which it pays the payment processing fees.

The creator posts the content no later than 14 days after the confirmed checkout date, plus 6 days for each revision round the host bought. This posting deadline is fixed: it does not move for the host's review or for any revision.

If the booking is cancelled before the creator submits any content, the revision rounds the host bought are unused and are refunded in full. Once the creator has submitted content, unused revision rounds are not refunded.

On the review page, the video plays at the top, and each note the host writes on a video is stamped automatically with the time in the video.

Delivered content stays on the Hamba review page, where the host can view it. On a booking that is not a UGC collaboration, the host may never download, record, or otherwise save the content. On a UGC collaboration, the host can download the content only once it is approved and from the day after the confirmed checkout date (UTC), and until then may only view it on the review page. By accepting a UGC collaboration, the creator agrees to that download. A download provides the file as the creator uploaded it.

Once content is approved, by the host or automatically, the host may use it only for the uses listed as usage rights on the booking, and only to promote the hotel or property named in the booking, anywhere in the world, for as long as it is used to promote that hotel or property. The host may add music. The host may not re-edit the creator's edit unless the creator agrees in Hamba, and may not otherwise alter the content or use it to train AI. The host must use the content in a positive way that suits the creator's brand. Any other use needs a separate license from the creator. If the stay is cancelled or does not take place, the host gets no license to any content delivered for it.

11. Adding contacts and sending invitations

A hotel, agency or other account can add contacts to Hamba one at a time, by uploading a spreadsheet, or by importing them from a connected Gmail account. Hamba keeps them on your account's private list and does not email them until you choose to invite them.

By using Hamba to add, upload or import contacts, you confirm all information was obtained correctly, and that:

You give this confirmation by using these features: each time you add one, upload a spreadsheet, connect Gmail or scan it again, add a contact found in Gmail to your network or mark it as a hotel, restore one you excluded, or give a contact a new email address. A short notice where you do this says so. We record who did it, when, and which version of these Terms applied.

You are responsible for the contacts you add, for choosing to invite them, and for any note you add to an invitation.

Apart from the one follow-up below, Hamba emails your contacts only when you choose to send an invitation to join Hamba, an invitation to one of your stays, a reminder, or a request for missing details. A large batch can go out over the following days. If a creator you invited has not joined after 4 days, Hamba sends them one follow-up. Each email is sent in your name "via Hamba", shows your postal address and has a one-click unsubscribe link. Hamba does not email an address that has unsubscribed from your emails or stopped invitations from every account, and removing and adding a contact again does not undo that.

We may hold a large first upload for review before any invitations go out. We may pause or switch off adding contacts or sending invitations for your account, or remove contacts, if we reasonably believe the feature is being misused, for example to send unwanted email.

If someone you added makes a claim against Hamba because you did not have the right to share their details or to have Hamba contact them, you will cover Hamba's reasonable losses and costs from that claim, except to the extent Hamba caused them.

12. Payments

Any optional performance based cash is calculated and paid according to the terms of the specific collaboration and the supported social metrics named in those terms. Hamba does not currently provide an automated payout wallet or independently verify hotel booking revenue. You are responsible for any taxes on amounts you earn. Free stays and other benefits may have their own value for tax purposes, and you are responsible for handling that.

13. Disclaimers

The Platform is provided "as is" and "as available." To the fullest extent allowed by law, we disclaim all warranties, whether express or implied, including any warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee any particular level of stays, content performance, bookings, earnings, or results. Hotels and creators are responsible for their own conduct, and we are not responsible for the acts or omissions of any hotel or creator.

14. Limitation of liability

To the fullest extent allowed by law, Hamba will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Platform. To the fullest extent allowed by law, Hamba's total liability for any claim relating to the Platform will not exceed the greater of the amount we paid you in the three months before the claim or one hundred US dollars. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

15. Termination

You may stop using the Platform and close your account at any time by contacting us. We may suspend or end your access at any time if you break these Terms or if we reasonably need to protect the Platform or its users. Sections that by their nature should survive termination will survive, including content and marketing licenses granted for content and participation up to that point, disclaimers, limitations of liability, and governing law.

16. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the date at the top and, where appropriate, notify you. Continuing to use the Platform after changes take effect means you accept the updated Terms.

17. Governing law

These Terms are governed by applicable law, without regard to conflict of law rules. Any dispute relating to these Terms or the Platform will be handled in the courts or forum with proper jurisdiction, and you agree to that venue.

Some hotel details (names, addresses, locations) may come from OpenStreetMap, © OpenStreetMap contributors, available under the Open Database License (ODbL) at openstreetmap.org/copyright.
